The agreement, in plain words.
These terms apply to schools and municipalities that use Lerlo, and to the staff the school gives access to it. The signed agreement between the school and Nullbase ApS – with the data processing agreement – takes precedence over what is written here.

1. The parties
Lerlo is provided by Nullbase ApS (CVR 37283681) ("we"). The customer is the school, institution or municipality that enters into the agreement ("the school"). The school's staff use Lerlo on the school's behalf and according to the school's instructions.
2. The service
Lerlo is a web service for the teacher's everyday work: seating plans, activities in lessons, classes and pupils, teaching, school years and data protection, as described on the features page. We develop the service continuously; new features are covered by the agreement. We do not remove features the school depends on without notice.
3. Agreement and price
The agreement is entered into per school for one school year at a time and renews automatically unless it is cancelled before the start of the next school year. The price is agreed in writing and depends on the size of the school; it covers all of the school's staff, pupils and classes and all features. Price changes are notified no later than three months before a new school year.
4. Access and accounts
The school creates access for its staff by invitation and decides their roles. Each member of staff has their own account with two-factor and must not share it. The school removes access for staff who leave. Pupils do not have accounts; they take part in activities without a login.
5. Data
The school owns its data and is the data controller for it. We are the data processor and process data only to deliver the service and on the school's instructions in the data processing agreement. We do not use the school's data for other purposes, do not sell it and do not share it with anyone other than the sub-processors listed in the agreement. How data is protected is described on the page Security and GDPR and in the privacy policy.
The school can at any time download everything about a pupil, a class, a member of staff or the whole school as one export. The school decides how long pupils who left are kept.
6. Operation
We aim for Lerlo to be available around the clock. Updates happen without downtime; planned maintenance that requires downtime is notified in advance and scheduled outside school hours. We take daily backups and keep them in the EU. If the school experiences an error, we reply as quickly as possible at kontakt@lerlo.dk.
7. Use
The school uses Lerlo for what it is built for: teaching and the school's organisation. The school must not attempt to circumvent access rules, put unnecessary load on the service or upload content that is unlawful. Material a member of staff puts in their own area belongs to the member of staff or the school according to their mutual agreement; we make no claim to it.
8. Liability
We are responsible for delivering the service as described and for processing data as agreed. We are not liable for losses caused by circumstances beyond our control, for content uploaded by the school's staff, or for indirect losses. Our total liability is limited to the amount the school has paid for the current school year, unless mandatory law provides otherwise. Liability for the processing of personal data follows the data processing agreement and the General Data Protection Regulation.
9. Termination
If the agreement is cancelled, the school can use Lerlo until the end of the school year and downloads what it wants to keep before then. After that we delete the school with its classes, pupils, files and log and confirm this in writing. If a party materially breaches the agreement and does not remedy it after a written reminder, the other party may terminate it.
10. Changes and law
We may change these terms with three months' notice to the school's administrator. The agreement is governed by Danish law; disputes are to be resolved amicably where possible, otherwise before the courts of Denmark.
